Terms of Service for Nitely

By downloading, installing, or using the Nitely mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

1. Eligibility

You must be at least 19 years of age and a resident of Ontario, Canada to use this App. By using the App, you represent and warrant that you meet these eligibility requirements.

2. Account Registration

You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration.

3. User-Generated Content

You may submit bar reviews, ratings, and other content ("User Content"). You retain ownership of your User Content but grant Nitely a non-exclusive, royalty-free, worldwide license to use, display, and distribute your User Content in connection with the App. You agree not to submit content that is false, misleading, defamatory, or otherwise objectionable.

4. Community Content

Nitely relies on community contributions to keep venue information accurate. You can check in at venues, rate and review bars, upload photos, add new venues, and provide real-time updates such as wait times, cover charges, and crowd levels. This content is visible to other users. You are responsible for the accuracy of the information you contribute and agree not to submit false or misleading content.

5. Prohibited Conduct

You agree not to:

• Use the App for any unlawful purpose
• Submit false, misleading, or spam bar information
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App
• Create multiple accounts in violation of these Terms
• Use automated means, bots, or scripts to access the App or submit content
• Harass, abuse, or harm other users
• Exploit bugs, glitches, or vulnerabilities in the App

Violation of any of these terms may result in immediate account termination.

6. Intellectual Property

The App and its original content, features, and functionality are owned by Nitely and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

7. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. Nitely does not warrant that the App will be uninterrupted, error-free, or free of harmful components. Bar information provided through the App is user-generated and may not be accurate or current.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Nitely shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the App.

9. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Termination

We may terminate or suspend your account at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may delete your account at any time through the App settings.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through the App. Your continued use of the App after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
